About

Built for the owner, not the deal.

The industry that sells businesses is built for the transaction. Legacy Matters exists to change the way founders sell their businesses.

Our manifesto

Your life’s work deserves better.

There is a moment nobody prepares you for. It arrives on an ordinary Tuesday. A buyer calls. Or a doctor does. And the thing you spent twenty years building suddenly has to be explained, defended and priced by strangers, in weeks.

The market doesn’t reward sacrifice. It rewards preparedness. And preparedness runs on the one thing no buyer can ever give back. Time.

Every founder learns to fly in a storm. Almost nobody teaches you to land. That’s the seat we take. The one beside you.

The Legacy Matters Manifesto

Your life’s work deserves better.

There is a moment nobody prepares you for.

It arrives after the years. After the first customer you won because you refused to hang up, and the payroll you covered on your own line of credit, and every storm you flew through with nobody in the other seat.

It arrives on an ordinary Tuesday. A buyer calls. Or a doctor does. And the thing you spent twenty years building suddenly has to be explained, defended and priced by strangers, in weeks.

We’ve sat in those rooms. More than 25 transactions since 2015, over $750 million in value, and one pattern we could never stop seeing: good owners signing deals they should have walked away from. Everyone at the table got paid when it closed. Nobody got paid to tell them to wait.

So we stopped staying quiet.

What you’ve been told

You’ve been told you’ll know when it’s time. You won’t. The time picks you.

You’ve been told to call an advisor when you’re ready to sell. By then your value is already set. Buyers pay for what they can underwrite: clean numbers, a team that runs without you, customers who’d stay through a change of hands. That takes years to build. Most owners give it weeks.

You’ve been told the offer is the price. The offer is where it starts. The real price gets written in diligence, one request at a time, while you’re still running the company and too far in to walk away. On a business with $3 million in EBITDA, losing one turn of multiple costs you $3 million. They’ll call it standard.

You’ve been told everyone at the table works for you. Most of the people calling about your business get paid one way. When it closes.

The market isn’t the main reason owners walk in unprepared.

Something quieter is. Planning your exit feels like planning your own ending, so you put it off the way people put off their will. There’s always next year. You stay busy being the person everything depends on, because you’ve been that person so long you’re not sure who’s underneath.

An exit is the last big decision you make as the owner. It’s also the first one you make as whoever comes next.

The market doesn’t reward sacrifice. It rewards preparedness. And preparedness runs on the one thing no buyer can ever give back.

Time.

What we believe

The sale is decided years before the deal. Buyers pay for trust, so build it before they arrive. Your numbers should hold up in any room, with you out of it. Your people should never be the price of your exit. Leverage gets built slowly and spent once. When you finally sit down at the table, you should be the most prepared person there.

What we promise

We’ll show up early, years early, while the work can still change the outcome. We’ll find what a buyer would punish and fix it before a buyer ever sees it. We’ll tell you the truth about your business, including the parts that are hard to hear. And if waiting is the better move, we’ll tell you not to sell. Even if it means there’s no deal for us this year.

We built our model so the only way we earn more is by getting you more.

If you’re an accountant, lawyer, banker or wealth advisor who has watched a client get rushed into the wrong deal, you already know why we exist. We’d like to work beside you.

Every founder learns to fly in a storm. Almost nobody teaches you to land. That’s the seat we take. The one beside you.

You’ve flown it this far.Let’s bring it home on your terms.

Why Co-Pilot

We sit beside you, not across the table.

A traditional firm is built to run a transaction. We are built to prepare an owner, then run the transaction. Here is the difference, plainly.

Gets involved
A traditional M&A firm: 6 to 12 months before a sale
Legacy Matters: 1 to 3 years before a sale
Gets paid
A traditional M&A firm: Only when a deal closes
Legacy Matters: To prepare you, then to run the sale
Works for
A traditional M&A firm: The transaction
Legacy Matters: You, your people, and the outcome
Your gaps
A traditional M&A firm: Found by the buyer, then priced against you
Legacy Matters: Found and fixed before a buyer looks
Tells you to wait
A traditional M&A firm: Rarely. Waiting pays no fee
Legacy Matters: Whenever waiting is worth more to you
Your people
A traditional M&A firm: Outside the brief
Legacy Matters: Protected through the transition
Leaves
A traditional M&A firm: At closing
Legacy Matters: After your people are settled

What we believe

What we believe

  1. The way businesses are sold today is broken.

Owners get one shot at the biggest deal of their lives, and the industry is paid to close it, not to make it worth closing. We exist to fix that.

  2. An owner should never be the least informed person at the table.

Buyers do this every month. You do it once. Our job is to close that gap before it costs you.

  3. Preparation is the one part of a sale you fully control.

You cannot choose the market or the buyer. You can choose how ready you are when they arrive.

  4. Legacy is as important as price.

The highest offer is not always the best one. Finding the right steward, one who will protect your people and your culture, is worth more than the last dollar on the table.

  5. Sometimes the right answer is not this year.

If waiting is worth more to you, we will say so, even when it means no transaction for us.

If this is how you want your exit handled, let’s talk.

We give back to the places that mean the most to us.

Every engagement supports two Toronto hospitals close to our family’s heart. Giving is built into how we work, not added at the end of the year.

  • of everything we earn, pledged to charity every year.

Every referral fee a partner can’t accept, given to charity too.

  • SickKids FoundationThe Hospital for Sick Children, Toronto

For Bhavin’s daughter, very sick at two months old. And for every family hoping to bring their child home.

  • The Princess Margaret Cancer FoundationPrincess Margaret Cancer Centre, Toronto

For a family that knows cancer too well. And for every family still in the fight.

These aren’t causes picked from a list. They are part of our story.
